FoxWise – Terms & Conditions


1. Company Information

FoxWise is the trading name of a self-employed business (“autónomo”) registered in Spain.

The legal identity, tax details and registered business address shown on every quotation and invoice form an integral part of these Terms & Conditions.

2. Quotations

Unless otherwise stated, quotations remain valid for 30 calendar days.

A quotation is considered accepted once the client signs the quotation, provides written confirmation (including email or other electronic communication), or requests FoxWise to commence work.

Any quotation is based on the scope described therein. Work requested outside the agreed scope shall be considered additional work and may be invoiced separately.

3. Payment Terms

Invoices are payable on the due date stated on the invoice. Unless otherwise agreed in writing, the due date is typically the same day the invoice is issued.

FoxWise kindly requests prompt payment. Many projects require costs to be incurred before the work is completed. These costs may include, but are not limited to, premium plugins, software licences, hosting, cloud infrastructure, domain registrations, third-party subscriptions, APIs, security software, development tools and the ongoing maintenance required to keep systems secure, stable and up to date.

Prompt payment allows FoxWise to cover these expenses efficiently and continue providing reliable services without unnecessary delays.

FoxWise reserves the right to suspend ongoing work, maintenance services, hosting, software licences, website updates or access to deliverables until all overdue invoices have been paid in full.

4. Project-Based Work

Unless explicitly agreed otherwise, fixed-price projects are invoiced in two stages:

  • 40% upon acceptance of the quotation.
  • 60% upon completion or delivery of the project.

The initial payment secures the project within the planning schedule, reserves the required development capacity and covers initial project costs and third-party expenses.

Work will generally commence after receipt of the initial payment.

5. Time & Materials

Work performed on an hourly or daily basis is invoiced according to the actual time spent.

Billable activities may include, but are not limited to:

  • Development
  • Configuration
  • Consultancy
  • Research
  • Meetings
  • Communication
  • Troubleshooting
  • Testing
  • Deployment
  • Documentation
  • Project management

6. Changes to Scope (Additional Work)

Any work requested by the client that falls outside the agreed quotation or project scope shall be treated as additional work.

Where reasonably possible, FoxWise will inform the client before commencing such work.

Unless otherwise agreed in writing, additional work shall be invoiced at the applicable hourly rate.

7. Client Delays

Projects depend on timely communication and the delivery of information, content, access credentials, feedback and approvals by the client.

Should the client delay a project for more than sixty (60) calendar days, FoxWise reserves the right to:

  • Invoice all work completed up to that date.
  • Invoice any purchased licences, subscriptions or third-party costs.
  • Remove the project from the active planning schedule.

Should the project resume at a later date, FoxWise cannot guarantee immediate availability and a new planning schedule may apply.

8. Third-Party Products & Services

FoxWise regularly integrates products and services supplied by third parties, including hosting providers, payment providers, cloud services, software vendors and APIs.

FoxWise cannot be held responsible for outages, pricing changes, discontinued services, policy changes or technical issues originating from these third-party providers.

Any licence fees or subscription costs charged by third parties remain the responsibility of the client unless explicitly agreed otherwise.

9. Intellectual Property

Ownership of the final deliverables transfers to the client only after all related invoices have been paid in full.

FoxWise retains ownership of its methodologies, reusable code, templates, frameworks, automation scripts, internal tools and know-how developed independently of the project.

10. Best Efforts

FoxWise undertakes to perform all services with reasonable skill, care and professional diligence.

Unless explicitly agreed otherwise, FoxWise provides an obligation of best effort rather than a guaranteed obligation to achieve a specific commercial or technical result.

Estimated delivery dates are provided in good faith but may change due to client feedback, changing requirements, third-party dependencies or unforeseen technical circumstances.

11. Acceptance of Deliverables

Unless otherwise agreed, deliverables shall be deemed accepted if no substantial defects are reported within fourteen (14) calendar days after delivery.

Minor issues, cosmetic adjustments or small improvements do not constitute grounds for rejecting delivery.

12. Late Payments

FoxWise reserves the right to charge statutory interest and reasonable recovery costs where permitted under applicable Spanish law.

Repeated or continued late payment may result in the suspension of ongoing services until all outstanding amounts have been settled.

13. Limitation of Liability

To the extent permitted by applicable law, FoxWise’s total liability shall be limited to the amount invoiced for the services giving rise to the claim.

FoxWise shall not be liable for indirect or consequential damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, business interruption, loss of data or reputational damage.

14. Force Majeure

FoxWise shall not be liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to internet outages, cyber incidents, power failures, natural disasters, government actions or failures of third-party suppliers.

15. Governing Law

These Terms & Conditions shall be governed exclusively by the laws of Spain.

Any disputes arising from or relating to these Terms & Conditions shall be submitted to the competent courts of Spain unless mandatory legislation provides otherwise.

16. Website & Maintenance Disclaimer

FoxWise strongly recommends that all websites remain covered by an active maintenance agreement.

Modern Content Management Systems (CMS), including but not limited to WordPress, Magento and similar platforms, together with plugins, themes, server software and third-party integrations, are subject to regular security vulnerabilities, compatibility issues and software updates.

Unless covered by an active maintenance agreement with FoxWise, the client is solely responsible for ensuring that all software, plugins, themes, server configurations and third-party services remain secure, supported and up to date.

FoxWise shall not be held liable for security breaches, malware infections, hacking incidents, software incompatibilities, performance degradation, data loss, downtime or other issues arising after delivery where maintenance services have been declined, discontinued, transferred to another provider or otherwise fall outside the scope of an active maintenance agreement.

Where maintenance is performed by the client or by a third party, FoxWise cannot guarantee the continued security, stability or compatibility of the delivered solution.

17. Third-Party Licences and Subscriptions

Any software licences, hosting services, plugins, themes, domain registrations, APIs or third-party subscriptions purchased or renewed by FoxWise on behalf of the client remain payable by the client, regardless of whether the relevant project is completed, postponed, suspended or cancelled.

Unless explicitly agreed otherwise in writing, recurring licence, subscription, hosting and renewal fees become the responsibility of the client after the agreed service period.

FoxWise reserves the right to suspend or discontinue third-party services where the related costs have not been paid by the client.

18. Domain Name Registration and Management

Where FoxWise registers, renews, transfers or manages a domain name on behalf of a client, FoxWise acts as a reseller of domain registration services and not as an ICANN-accredited registrar.

Domain name registrations are subject to the terms, policies and procedures of the applicable domain registry, the sponsoring registrar and, where applicable, the Internet Corporation for Assigned Names and Numbers (ICANN).

Clients requesting FoxWise to register, renew, transfer or manage a domain name on their behalf agree to the FoxWise Domain Name Registration Terms, which form an integral part of these Terms & Conditions.
